QCentroid Labs S.L. Discovery Sandbox Platform – Terms of Use

Effective Date: September 15, 2024.

These Terms of Use (“Agreement”) govern your use of the QCentroid Labs S.L. Discovery Sandbox Platform (the “Platform”). By accessing or using the Platform, you (“User”) agree to comply with these terms. Please read them carefully before proceeding.

1. Introduction

This Agreement sets forth the terms and conditions governing the use of the QCentroid Labs S.L. Discovery Sandbox Platform. The Platform provides a comprehensive environment for the development, execution, visualization, and benchmarking of quantum and classical computing solutions, allowing users to efficiently evaluate performance across multiple computing architectures.

Users can interact with the Platform through the QCentroid Sandbox Web IDE and the QCentroid QuantumOps Platform, which together offer an intuitive interface for developing, executing, and managing computational workflows. The Platform integrates quantum algorithms, machine learning models, and classical computing resources, enabling seamless operations across quantum emulators, classical hardware, and cloud-based quantum computing systems.

Additionally, the Platform supports benchmarking, allowing users to compare the performance of their solutions across various computing systems. APIs are provided for integration with third-party tools, enhancing flexibility and enabling the combination of quantum and classical computational resources.

By accessing or using the Platform, you acknowledge and agree to comply with the terms and conditions outlined herein.

2. Definitions

  • “Platform”: Refers to the cloud-based system provided by QCentroid Labs S.L., including the QCentroid Sandbox Web IDE, QuantumOps web app, and APIs for integration with quantum emulators, classical hardware, and cloud-based quantum computers.
  • “User”: Refers to the individual or entity accessing the Platform.
  • “Solution”: Refers to any code, algorithm, or results developed by the User using the Platform.
  • “Execution Logs”: Refers to non-personal data logs related to platform usage and code execution, used by the Provider for performance monitoring.

3. License Grant and Use Restrictions

3.1 License: The Provider grants the User a limited, non-exclusive, non-transferable license to access and use the Platform solely for the purpose of developing solutions and participating in specific events, such as hackathons, in accordance with these Terms of Use.

3.2 Use Restrictions: The User agrees not to:

  • Use the Platform for any illegal or unauthorized purpose.
  • Reverse engineer, disassemble, or create derivative works from the Platform, including its web app, APIs, or any connected services.
  • Exceed the usage limitations set by the Provider for code execution, benchmarking, or computational resources.
  • Use the Platform in any way that interferes with or disrupts the Platform’s performance, APIs, or security.

3.3 Prohibited Activities: The User is prohibited from tampering with the Platform’s infrastructure, bypassing usage limits, or using the Platform for purposes beyond solution development as defined in this Agreement.

4. Ownership of Code and Solutions

4.1 User Ownership: The User retains ownership of the code, algorithms, and solutions they develop on the Platform. The Provider does not claim any rights over the User’s code or results.

4.2 Access for Evaluation: The User agrees that their code and solutions can be accessed by event organizers and judges for evaluation purposes related to events such as hackathons.

4.3 Third-Party Code: If the User integrates any third-party code or data into their solution, the User must ensure that they have the necessary rights and licenses to do so. The Provider is not responsible for any third-party claims related to unauthorized use of third-party code or data.

4.4 Platform IP: The Provider retains all rights to the Platform infrastructure, including the QCentroid Sandbox Web IDE, QuantumOps web app, APIs, algorithms, and any improvements or modifications to the Platform, even if based on User feedback or suggestions.

5. Data and Privacy

5.1 Execution Logs: The Provider collects and processes execution logs to monitor and improve Platform performance. These logs do not contain personal data, and the Provider ensures compliance with applicable data privacy regulations, including the General Data Protection Regulation (GDPR).

5.2 Data Retention: Execution logs will be retained for a period of [X months], after which they will be securely deleted unless required for legal compliance.

5.3 User Data: The User consents to the Provider’s use of non-personal data generated through their use of the Platform for performance monitoring and improvement.

6. Liability and Indemnification

6.1 No Liability for Results: The Provider makes no guarantees regarding the accuracy, reliability, or suitability of the results obtained through the Platform. The User assumes all responsibility for the use of the Platform and any results derived from it.

6.2 Third-Party Services: The Platform connects to third-party services, including cloud-based quantum and classical computing hardware. The Provider is not responsible for any downtime, errors, or performance issues related to these third-party services.

6.3 Limitation of Liability: In no event shall the Provider be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

6.4 Indemnification: The User agrees to indemnify and hold harmless the Provider, its affiliates, and its respective directors, officers, and employees from and against any claims, damages, losses, and liabilities arising out of the User’s use of the Platform, including but not limited to claims of intellectual property infringement or unauthorized use of third-party code.

7. Termination and Suspension

7.1 Termination for Violation: The Provider reserves the right to suspend or terminate the User’s access to the Platform immediately in the event of a violation of these Terms of Use, including but not limited to misuse of the Platform or exceeding the usage limitations.

7.2 Post-Termination Data Access: Upon termination, the User will have 60 days to retrieve any data or solutions generated through the Platform. After this period, the Provider may permanently delete all user-generated content without further notice.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Spain. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bilbao, Spain.

9. Force Majeure

Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, pandemics, technical failures, or government actions.

10. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

11. Amendments

The Provider reserves the right to amend these Terms of Use from time to time. Users will be notified of any material changes, and continued use of the Platform after such changes will constitute acceptance of the revised terms.
